Why corporate clients need GRC now

Cyber and data risk has become a Board matter in India and in every market Indian companies serve. Incidents, regulations and customer demands now arrive together, and leaders are asked to show evidence, not intent.

20.4 lakhCyber incidents handled by CERT-In in 2024
₹22 croreAverage cost of a data breach in India (IBM, 2025)
30%Breaches involving a third party (Verizon DBIR 2025)
₹250 croreMaximum DPDP Act penalty for a single breach type

What this service segment is

Board-Level Cyber Security Consulting & Advisory Services is the Codec Networks practice that helps Boards of Directors, Audit and Risk Committees, CXOs and General Counsels understand, govern and reduce cyber risk. It treats cyber security as a business, legal and reputational risk that leadership must govern, not only as an IT control. GRC Services is the sub-segment that turns that intent into a working system.

Governance

Who decides, who is accountable and how leadership oversees cyber and data risk.

We put in place: security governance structure, policies, roles, risk appetite and Board reporting

Risk

How the organisation identifies, measures and treats risk to information, operations and data.

We put in place: risk assessments, risk registers, treatment plans, KRIs and risk quantification

Compliance

How the organisation meets laws, regulations, standards and contracts, and proves it.

We put in place: gap assessments, control implementation, audits, evidence and certification readiness

Six sub-services, one governance model

Each sub-service can be bought on its own. Most clients combine two or more, because Codec Networks maps them to one shared control set and one Board view.

ISO/IEC 27001:2022 ISMS Implementation

An Information Security Management System (ISMS) is the set of policies, risk processes, roles and controls an organisation uses to protect information, defined by ISO/IEC 27001:2022. Codec Networks designs and implements the ISMS across the enterprise and prepares it for certification by an accredited certification body.

What Codec Networks does
  • Defines ISMS scope, context and interested parties, and sets up the information security governance structure.
  • Runs an asset-based risk assessment and risk treatment plan, and builds the Statement of Applicability for the 93 Annex A controls.
  • Writes the policy and procedure set, helps implement the controls and trains control owners.
  • Performs the internal audit and management review, and supports the client through Stage 1 and Stage 2 certification audits.

Client outcome: A working, certifiable ISMS that customers, auditors and the Board can rely on.

NIST Cybersecurity Framework (CSF) Alignment

The NIST Cybersecurity Framework 2.0 (February 2024) organises cyber risk into six functions: Govern, Identify, Protect, Detect, Respond and Recover. Codec Networks uses it to translate security posture into risk language the Board can use for decisions.

What Codec Networks does
  • Builds the client's current profile and implementation tier for each function and category.
  • Agrees a target profile with management based on business priorities and risk appetite.
  • Produces a prioritised, costed gap roadmap and a set of key risk indicators (KRIs).
  • Sets up quarterly Board reporting, with FAIR-based cyber risk quantification where the client wants risk in rupee terms.

Client outcome: Cyber risk that directors can see, compare and fund on a risk-based footing.

DPDPA 2023 Readiness Programme

India's Digital Personal Data Protection Act 2023 and the DPDP Rules 2025 set duties for organisations that process digital personal data. Codec Networks' readiness programme takes the client from data discovery to operating privacy controls before the obligations commence.

What Codec Networks does
  • Establishes the client's role (Data Fiduciary, Significant Data Fiduciary or Data Processor) and maps personal data and its flows.
  • Assesses gaps against the Act and Rules: notice, consent, purpose and retention, rights, children's data, security safeguards and breach intimation.
  • Designs notices, consent flows, rights handling, retention, processor contracts and a personal data breach playbook.
  • Provides DPIAs, privacy training and optional DPO-as-a-service support.

Client outcome: Demonstrable DPDPA readiness with records that stand up to a Data Protection Board inquiry.

Global and Sectoral Compliance: GDPR, CCPA, HIPAA, PCI DSS, SOC 2

Clients serving customers abroad or handling payment or health data face GDPR (EU), CCPA/CPRA (California), HIPAA (US health), PCI DSS v4.0.1 (card data) and SOC 2 (AICPA Trust Services Criteria). Codec Networks builds one unified control framework so each control is implemented and evidenced once and reused across frameworks.

What Codec Networks does
  • Determines which frameworks apply, by market, data type, contracts and customer demands.
  • Runs a gap assessment and maps each requirement to one unified set of controls.
  • Implements missing controls, policies and evidence, and runs a readiness test before the independent audit.
  • Works alongside the client's CPA firm (SOC 2), QSA (PCI DSS) or certification body, and supports customer security questionnaires.

Client outcome: Faster audits and shorter sales cycles in global and regulated markets.

RBI and SEBI Cyber Security Framework Audits

Banks, NBFCs, payment system operators, brokers, depositories and other regulated entities are subject to RBI and SEBI instruments on cyber security, IT governance and outsourcing. As a CERT-In empanelled auditing organisation, Codec Networks performs independent audits against the instruments that apply to the client and helps close the gaps found.

What Codec Networks does
  • Identifies the client's regulatory category and the applicable instruments, such as RBI's Cyber Security Framework (2016), IT Governance Master Direction (2023) and IT Outsourcing Master Direction (2023), or SEBI's CSCRF (2024).
  • Tests the design and operating effectiveness of controls, supported by technical testing where in scope.
  • Issues an audit report with risk-rated findings and management responses in the format the client needs.
  • Validates closure of findings and supports the client's responses to regulator or exchange queries.

Client outcome: An independent, evidence-backed view of compliance before the regulator or the exchange asks.

Third-Party Risk Management (TPRM) and Vendor Security Governance

Third-Party Risk Management (TPRM) governs the security of vendors, service providers, cloud and SaaS platforms, and their own suppliers (fourth parties). Codec Networks sets up and runs a tiered, evidence-based TPRM programme across the vendor lifecycle.

What Codec Networks does
  • Builds the vendor inventory, assigns business owners and tiers vendors by inherent risk.
  • Runs risk-proportionate due diligence: questionnaires, evidence review, and remote or on-site assessments for critical vendors.
  • Drafts security, audit, breach-notice, data protection and exit clauses for contracts.
  • Monitors vendors through renewals, incidents and exits, and reports vendor risk to management and the Board.

Client outcome: Fewer surprises from the supply chain and a defensible record of vendor oversight.

  2. Do you collect or process personal data of people in India?
  3. Do you serve EU or US customers, handle US health data or process card payments?
  4. Are you regulated by RBI or SEBI (bank, NBFC, payment operator, broker, depository, AMC)?
  5. Do you rely on many vendors, SaaS tools or outsourced IT providers?
  6. Does your Board or risk committee ask for cyber risk in business terms?
